Tyrads Publisher Dashboard (Self serve) – Terms of Use

The first registered user of a Publisher account is designated as the Publisher Company Owner, representing their own independent company and serving as the official account holder with full administrative rights. The Publisher Company Owner is solely responsible for managing the account and all activities conducted through it. Additional users may only be added with TyrAds' explicit approval.

Registration using public email domains, such as @gmail.com or @yahoo.com, is not permitted unless expressly whitelisted by TyrAds. Publishers are responsible for maintaining strict confidentiality over their login credentials and for all activity conducted through their accounts. TyrAds may suspend or revoke access at any time in cases of fraudulent, abusive, or suspicious activity and reserves the right to request verification or documentation before reinstating or granting access.

The Dashboard enables Publishers to register their apps or web properties, integrate through SDK or API, create tracking links, manage campaigns, and view performance data and reports. It may only be used for legitimate business purposes and in compliance with applicable laws.

Publishers shall not attempt to access or use any system, network, or data beyond what TyrAds expressly permits. Reverse-engineering, decompiling, copying, or modifying the Dashboard, SDK, APIs, or associated materials is prohibited. Publishers shall not interfere with or disrupt the operation or security of the Dashboard, nor use the Dashboard to distribute malware, spam, or perform any fraudulent activity. TyrAds reserves the right to monitor all access and activity for security and compliance purposes and may block or limit access at its discretion.

All content, technology, APIs, SDKs, software code, documentation, and related materials of the Dashboard remain the sole and exclusive property of TyrAds and its licensors. Publishers are granted a limited, revocable, non-exclusive, non-transferable license to access and use the Dashboard solely for integrating and managing TyrAds-related campaigns. No ownership or rights in the Dashboard or its content are transferred to the Publisher.

Publishers grant TyrAds a worldwide, royalty-free, fully paid-up, non-exclusive license to use, reproduce, display, modify, adapt, or create derivative works of any assets, content, or information provided by the Publisher solely for purposes of enabling and improving the Dashboard or related services. Any feedback or suggestions submitted may be used by TyrAds without restriction, attribution, or compensation.

"Confidential Information" includes all non-public information disclosed by TyrAds, whether written, oral, digital, or visual, including system architecture, business processes, financial data, performance metrics, APIs, SDK documentation, and user interfaces. Publishers must maintain this information in strict confidence and use it only for authorized Dashboard activities.

Publishers must implement technical and organizational measures to protect credentials, data, and integrations from unauthorized access. Any discovered security breaches, vulnerabilities, or unauthorized access must be immediately reported to TyrAds, and Publishers must cooperate fully in investigation and remediation. Penetration testing, vulnerability scanning, or reverse engineering is prohibited without TyrAds' prior written consent. TyrAds may retain system logs, audit trails, and records to monitor compliance and resolve disputes.

The Dashboard reflects all campaign, app, and performance data generated through TyrAds' systems. Data appearing in the Dashboard, including impressions, installs, conversions, events, revenue, or other metrics, is final and binding for billing purposes unless a material discrepancy exceeding ten percent (10%) is reported within seven calendar days of being reflected on the Dashboard. TyrAds may verify discrepancies at its sole discretion, and its determination shall be final and conclusive.

All billing, payments, and invoicing are based solely on Dashboard data. No chargebacks, clawbacks, or retroactive adjustments will be accepted once data is confirmed and locked. TyrAds' data prevails over third-party measurement or analytics in case of conflict. Publishers are responsible for promptly reviewing reports and invoices, and failure to dispute within the stated timeframe constitutes acceptance. TyrAds may, at its sole discretion, issue adjustments, withhold payments, or reverse credited amounts in cases of confirmed errors, invalid traffic, or fraudulent activity.

TyrAds processes Publisher account information, app data, and technical integration data for onboarding, analytics, billing, and support, in accordance with TyrAds' Privacy Policy and applicable data protection laws, including GDPR and PDPA. Publishers are responsible for obtaining any necessary consents and providing user disclosures for SDK/API integrations. Publishers agree not to transmit personal data to TyrAds except where lawful and necessary.

TyrAds may anonymize or aggregate data for internal analysis, system improvement, and reporting. TyrAds is not responsible for Publisher's failure to comply with data privacy laws.

The Dashboard includes an integrated ticketing system for reporting issues or requests. Publishers are expected to self-manage tickets and follow TyrAds' support escalation processes. Support response times are not guaranteed, and TyrAds may prioritize issues at its discretion. TyrAds may also limit or suspend access to the Dashboard to manage system integrity or prevent misuse.

Publishers shall indemnify, defend, and hold harmless TyrAds, its affiliates, directors, employees, and agents from and against any claims, losses, damages, liabilities, costs, or expenses, including attorney's fees, arising from their access or use of the Dashboard or SDK/API, any breach of these Terms, violation of applicable law, unauthorized or malicious activity, or misuse of Confidential Information. This includes claims relating to intellectual property infringement, misrepresentation, or regulatory non-compliance.

The dashboard, SDK, and all related materials are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. TyrAds disclaims all warranties, including but not limited to merchantability, fitness for a particular purpose, accuracy, uptime, and non-infringement. TyrAds does not guarantee continuous, error-free operation or compatibility with any devices, platforms, or systems. The dashboard may experience maintenance, updates, or temporary downtime that affects performance or access. TyrAds is not responsible for any losses or damages incurred by publishers or third parties arising from the use or inability to use the dashboard.

To the fullest extent permitted by law, TyrAds' aggregate liability for any claims related to the dashboard or these terms shall not exceed the total fees paid by the publisher in the preceding six months. TyrAds shall not be liable for indirect, incidental, special, punitive, or consequential damages, including loss of profits, data, goodwill, or business opportunities. TyrAds shall have no liability for errors, data loss, reporting delays, or system unavailability caused by third-party networks, integrations, or publisher-side technical issues.

TyrAds may suspend or terminate Publisher access to the Dashboard at any time, with or without cause, including for fraud, breach of these Terms, abuse of the system, non-compliance with campaign rules, or legal requirements. Upon termination, all licenses and access rights immediately cease, and Publishers must stop all Dashboard and SDK/API usage. Confidentiality obligations survive termination. TyrAds may retain system logs, audit trails, or aggregate data as necessary for compliance, audit, or legitimate business purposes.

TyrAds reserves the right to modify, update, or replace these Terms at any time. Updated Terms will be posted on the Dashboard or communicated electronically. Continued use of the Dashboard constitutes acceptance of the revised Terms.

These Terms shall be governed by and construed under the laws of the Publisher's country of incorporation. NOTWITHSTANDING THIS, TYRADS RETAINS THE RIGHT TO INITIATE PROCEEDINGS OR ENFORCE ITS RIGHTS UNDER THESE TERMS IN ANY JURISDICTION IT CHOOSES. Any disputes not resolved amicably shall be subject to binding arbitration, and the arbitrator's decision shall be final and binding.

No failure or delay by TyrAds in enforcing any right or provision constitutes a waiver. If any provision is found invalid, the remaining provisions remain enforceable. Publishers may not assign these Terms without TyrAds' consent, while TyrAds may freely assign or delegate its rights and obligations. These Terms constitute the entire agreement regarding the Dashboard and supersede all prior understandings or representations. TyrAds may take any action it deems necessary to protect its platform, intellectual property, or business interests, including limiting functionality, access, or payments, at its sole discretion.
